Master SaaS Terms of Service

These Master SaaS Terms of Service ("Terms") are a legally binding agreement between Atcloud Systems Private Limited, a company incorporated or to be incorporated under the laws of India, having its registered office in Tamil Nadu, Kanyakumari, India ("Atcloud Systems", "Company", "we", "us", or "our"), and any individual or legal entity that accesses or uses our Services ("Customer", "you", or "your").
These Terms apply to all software, applications, websites, platforms, products, subscriptions, modules, APIs, tools, and related services provided by Atcloud Systems, including but not limited to StayNexus, OPERO, and all future Atcloud Systems products.
1. Acceptance
By creating an account, clicking "I Agree", purchasing a subscription, beginning a free trial, accessing, or using the Services, you agree to these Terms. If you accept these Terms on behalf of a company or organization, you represent that you have authority to legally bind that entity. If you do not agree, you must not access or use the Services.
2. Services
Atcloud Systems provides cloud-based software on a Software-as-a-Service basis. The Services may include software, hosting, databases, APIs, integrations, dashboards, automation, analytics, support, documentation, and related functionality. Atcloud Systems may modify, update, improve, replace, suspend, or discontinue features or components of the Services from time to time. We may change our hosting, cloud, database, infrastructure, security, payment, communication, or technology providers based on technical, commercial, security, legal, regulatory, or operational requirements.
3. Eligibility
You must provide accurate and current information. If you are an individual, you represent that you are legally capable of entering into a binding agreement under applicable law. If you are using the Services for a business or organization, you represent that you have authority to do so.
4. Account Security
You are responsible for protecting your login credentials; maintaining account security; controlling access by your Authorized Users; ensuring the accuracy of account information; and all activity occurring through your account, except to the extent directly caused by Atcloud Systems' proven wrongful conduct. You must immediately notify us of suspected unauthorized access. You must not share credentials in violation of your Subscription or allow unauthorized individuals to use your account.
5. Subscriptions and Free Trials
Atcloud Systems may offer monthly, annual, usage-based, user-based, location-based, module-based, or other Subscription plans. Atcloud Systems may offer a 14-day free trial. Unless otherwise stated: one trial may be permitted per customer, account, business, or payment method; trial access may have limitations; we may modify or discontinue trials; trial access is provided without guarantees; and a paid Subscription may begin after the trial only where the applicable purchase or payment authorization has been properly completed.
6. Fees and Payment
Subscription fees are payable according to the selected plan. Unless expressly stated otherwise, fees are payable in advance; fees are non-refundable except where required by law or approved by Atcloud Systems; unused Subscription time does not create an automatic refund; and taxes, GST, VAT, withholding taxes, bank charges, payment-processing fees, and currency-conversion charges may be payable by the Customer where applicable. You authorize Atcloud Systems and its payment providers to process applicable payments according to the selected billing arrangement.
7. Automatic Renewal
Where disclosed and legally permitted, monthly or annual Subscriptions may automatically renew. You are responsible for cancelling before the applicable renewal date if you do not wish to renew. Cancellation does not automatically create a right to a refund for a period already paid.
8. Refunds and Cancellations
Refunds are handled according to Atcloud Systems' Refund, Cancellation & Subscription Policy. Refunds are not automatic. Atcloud Systems may consider refunds on a case-by-case basis, taking into account the reason for the request; usage of the Services; the Subscription period; technical issues; applicable law; payment-provider rules; and evidence of unauthorized or fraudulent payment. Nothing in this section excludes mandatory consumer rights.
9. Customer Data
The Customer retains ownership of Customer Data submitted to the Services. You grant Atcloud Systems a limited, worldwide, non-exclusive right to host, process, transmit, store, copy, back up, secure, and otherwise process Customer Data as reasonably necessary to provide the Services; operate and maintain the Services; provide support; prevent fraud and abuse; maintain security; and comply with legal obligations. You represent that you have all necessary rights, permissions, consents, and legal authority to provide Customer Data to Atcloud Systems. You are responsible for the accuracy, legality, and integrity of Customer Data.
10. Data Protection
Atcloud Systems may process personal data in accordance with applicable Indian data-protection laws and other applicable laws relevant to the relevant processing activity. The Privacy Policy and, where applicable, the Data Processing Agreement govern additional data-processing matters. Where the Customer determines the purpose and means of processing personal data and Atcloud Systems processes such data on the Customer's behalf, the parties may enter into a Data Processing Agreement.
11. Customer Responsibilities
You are responsible for your use of the Services; your Customer Data; your Authorized Users; obtaining required permissions and consents; complying with applicable laws; maintaining appropriate internal security; and reviewing information generated by the Services before relying on it. The Services are not a substitute for professional legal, tax, accounting, financial, medical, engineering, or regulatory advice.
12. Prohibited Use
You must not copy, reproduce, distribute, or resell the Services without authorization; reverse engineer, decompile, or attempt to obtain source code; bypass security or technical restrictions; access systems without authorization; interfere with the Services; introduce malware or malicious code; scrape the Services without authorization; use the Services to create a competing product by copying protected elements; infringe intellectual-property rights; conduct unauthorized penetration testing; use the Services for unlawful, fraudulent, abusive, or harmful activities; upload unlawful or infringing material; or use the Services in high-risk environments where failure could cause death or serious physical harm unless expressly agreed in writing. 13. Intellectual Property
Atcloud Systems and its licensors own all rights, title, and interest in the Services and related intellectual property. This includes software, source code, object code, architecture, interfaces, designs, documentation, trademarks, logos, workflows, databases, technology, improvements, and derivative works. Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you. You must not remove proprietary notices.
14. Feedback
You may provide suggestions, ideas, recommendations, or feature requests. You grant Atcloud Systems a worldwide, perpetual, irrevocable, royalty-free right to use, modify, develop, commercialize, and incorporate such feedback without payment or attribution.
15. Third-Party Services
The Services may integrate with third-party products and services. Atcloud Systems is not responsible for third-party services, their availability, security, performance, pricing, content, or policies. Your use of third-party services may be subject to separate terms.
16. Availability
We will use commercially reasonable efforts to operate the Services. However, uninterrupted availability is not guaranteed unless expressly provided in a separate written SLA. The Services may be affected by maintenance, infrastructure failures, internet failures, cyberattacks, third-party failures, governmental action, force majeure, or other events outside our reasonable control.
17. Support
Support is provided according to the applicable Subscription plan. Response times are not guaranteed unless expressly stated in a written SLA.
18. Security
Atcloud Systems will maintain commercially reasonable technical and organizational safeguards appropriate to the nature of the Services. No online system can guarantee absolute security. You are responsible for account credentials, Authorized Users, devices, integrations, and your internal security practices.
19. Backups and Data Export
Where export functionality is available, you may export Customer Data before termination. You are responsible for exporting important data before terminating your account. Atcloud Systems may maintain backups for operational and security purposes, but backup systems do not constitute an unlimited guarantee of restoration.
20. Suspension
We may suspend or restrict access where reasonably necessary due to unpaid fees; security risks; suspected fraud; unlawful activity; violation of these Terms; threats to the Services; excessive abuse of infrastructure; or legal or regulatory requirements. Immediate suspension may occur where delay could create serious risk.
21. Termination
You may cancel your Subscription according to the applicable cancellation procedure. Atcloud Systems may suspend or terminate access for material breach, including non-payment, serious misuse, unlawful activity, security abuse, or intellectual-property infringement. Atcloud Systems may discontinue a product or Service where legally permitted.
22. Data After Termination
Following termination, Customer Data may be deleted according to applicable retention practices and applicable law. You should export required data before termination where export functionality is available. Atcloud Systems may retain information necessary for legal compliance, tax, accounting, fraud prevention, security, dispute resolution, or enforcement of legal rights.
23. Confidentiality
Each party must protect confidential information received from the other party and use it only for legitimate purposes. Confidentiality obligations do not apply to information that is publicly available, independently developed, already lawfully known, or lawfully obtained from another source.
24. Disclaimer
To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. Atcloud Systems does not guarantee that the Services will be uninterrupted; the Services will be error-free; all defects will be corrected; the Services will meet every business requirement; or the Services will produce a specific financial or commercial outcome.
25. Limitation of Liability
To the maximum extent permitted by applicable law, Atcloud Systems will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or similar damages, including loss of profits, revenue, goodwill, business, opportunity, anticipated savings, or data. To the maximum extent permitted by law, Atcloud Systems' total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the fees paid by the Customer to Atcloud Systems during the twelve months preceding the event giving rise to the claim; or (b) the total amount paid under the applicable Subscription. Nothing excludes liability that cannot legally be excluded or limited.
26. Customer Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Atcloud Systems, its directors, officers, employees, contractors, affiliates, and representatives from claims, losses, damages, liabilities, costs, and reasonable legal expenses arising from your breach of these Terms; Customer Data; your violation of law; misuse of the Services; infringement of third-party rights; privacy violations; or actions of your Authorized Users.
27. Force Majeure
Atcloud Systems will not be liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, government action, pandemics, power failure, internet failure, cloud failures, cyberattacks, labor disputes, or third-party failures.
28. Governing Law and Disputes
These Terms are governed by the laws of India. Subject to mandatory applicable law, disputes shall be subject to the jurisdiction of the competent courts having jurisdiction over the registered office of Atcloud Systems Private Limited in Tamil Nadu, India. Atcloud Systems may seek urgent injunctive or equitable relief to protect intellectual property, confidential information, trade secrets, cybersecurity, or unauthorized access.
29. Changes to Terms
We may update these Terms from time to time. Material changes may be communicated through the Services, email, or other reasonable means. Continued use after the effective date may constitute acceptance where legally permitted.
30. Electronic Acceptance
Electronic acceptance, account registration, electronic records, and electronic communications may constitute valid acceptance and evidence of agreement where permitted by applicable law.
31. General
These Terms, together with applicable policies, Order Forms, and written agreements, constitute the agreement between the parties concerning the Services. If a provision is invalid, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. The Customer may not assign these Terms without consent, except where prohibited by law. Atcloud Systems may assign these Terms in connection with a merger, acquisition, restructuring, sale, or transfer of business.
